Vendor Terms of Service

Bantana Audio operates a platform linking Vendors to Buyers. Services are offered on Bantana Audio, which
are fixed price services; or custom digital products, which can be fixed price, or variable priced item.
Once a payment has been made, buyers are granted all rights for the delivered orders indefinitely. After
payments are completed orders are immediately processed and PayPal payments are sent to Vendors
instantly. We reserve the right to change payment schedules from ‘immediate’ to time based pay schedules.
Vendors will be alerted and changes to pay schedules will be reflected in our changelog.
For purposes of service messages, notices, offers and news about Bantana Audio, Users receive alerts on
certain pages and emails to the email addresses associated with their accounts. Users can easily unsubscribe
from any email notification using an un-subscription link found at the end of any email as well as their
Settings page.

1.0 User accounts
To use Bantana Audio, Users have to register for an account, provide accurate and complete information, and
keep their account information updated. Both Buyers and Vendors undergo the same account registration
process.
Each account must be a personal account, but Users may trade as a sole trader, company or any other legal
entity (whether incorporated or unincorporated).
The information that Users supply in the public profile of their account must comply with Bantana Audio
profile policies.
Bantana Audio reserves the right to restrict your access, temporarily or indefinitely block your account, stop
any Jobs you have in progress, warn other Buyers and Vendors of your actions or issue you a warning if:
a) you breach the letter or spirit of these terms and conditions or the referenced policies;
b) we are unable to verify or authenticate any information you provide to us;
c) we believe that your actions may cause any loss or liability to our Users or to us
d) you breach DMCA regulations
Users are solely responsible for any activity that occurs on their account, unless it is a result of actions beyond
their control (such as hacking or if someone steals their password when they have taken reasonable steps to
keep it secure). Users may never use another person’s user account or registration information for the
Website.
You confirm that you are not economically barred/limited under sanctions rules of any country worldwide. If
your circumstances change to be included in such lists, please cease using Bantana Audio immediately.
As per UK AML regulation, Bantana Audio is unable to support users from North Korea, Iran, Syria, Cuba,
Sudan (Republic of Sudan or North Sudan), South Sudan (Republic of South Sudan) and Region of Crimea.

1.1 Protection for Vendors
In the rare event that a buyer refuses payment or requests returns for legitimate services performed by a
Vendor, Bantana Audio will provide limited payment protection to the Vendor as mentioned below

The maximum amount of coverage under the refund protection for vendors for the life of a relationship
between Buyer and Vendor is $500.
The maximum amount of coverage under the refund protection for vendors per single transaction is $100.
Past a lifelong return/refund transaction of $500, Vendor accounts are to be terminated at the digression of
Bantana Audio.

1.2 Quality
All Vendors on Bantana Audio must strive to deliver a high standard of products, appropriately meeting their
Buyer’s needs.
Specifically, Vendors must ensure that all products provided are
a) are error free;
b) royalty free;
c) are of a standard consistent with the level of expertise;
d) of complete ownership of the Vendor
As a Vendor, you promise that:
a) you are not in breach of any applicable laws, rules or regulations or obligations to any other person;
b) you have made and will make all required legal and tax filings. If relevant, you will file all necessary legal
documentation relating to your self-employment required by any governmental body, and pay all applicable
taxes including without limitation PAYE or other income tax and national insurance;
c) you shall not (and shall not permit) any third party to either take any action or upload, download, post,
submit or otherwise distribute or facilitate distribution of any Content, Job, or Proposal on or through the
services Bantana Audio provide, including without limitation any User Content, that infringes any patent,
trademark, trade secret, copyright or other right of any other person or entity or violates any law or
contractual duty.

1.3 Payments.
Regular payments may be made utilising the Auto Pay feature. Bantana Audio provides this facility solely to
simplify the payment process. Use of this facility does not alter the nature of the relationship between
Bantana Audio and its Users or between Buyers and Vendors.
All payments between Buyer and Vendor must be processed through Bantana Audio, both for orders sourced
on Bantana Audio and for any follow-on orders between the Buyer and Vendor, either for the same Job or
another Job.
Payments by Buyers are routinely checked by Bantana Audio for fraud prevention purposes, before any
payments are released to the Vendor. Bantana Audio aims to process these payments and credit funds to the
Vendor’s Bantana Audio Account within 24 hours.
Payments through PayPal:
– PayPal Account statement showing your PayPal registered name, email address and verification status along
with any relevant transactions.

Bantana Audio uses third-party service providers including Adyen, Worldpay, Payoneer, Paypal and Skrill to
process payments by Buyers and to transfer funds to Vendors. These third-party payment service providers
are regulated and authorised to provide payment services in the countries where they operate. Bantana
Audio may share your personal or transactional information with third-party payment service providers
when it is necessary to process payments.

1.4 Refund policy in detail
Disputes will be dealt with through Bantana.
Buyer and Vendor may mutually agree to a refund for reasons other than the previous clause however
authorization of such refunds will be subject to a review by Bantana Audio.

1.5 Requesting a refund
Bantana Audio will process approved refund requests back to the Buyer’s Bantana Audio Account subject to a
review of the refund reason and circumstances to ensure that both parties have complied with these terms
and conditions, and that the purpose of the refund is not to avoid any of the parties’ obligations under these
terms and conditions. If Bantana Audio reasonably believes that the parties have not complied with these
terms and conditions or are seeking to avoid any such obligations Bantana Audio shall not be obliged to make
the refund.

1.6 Refund and Vendor standing
Vendors standing in the Bantana Audio marketplace can be effected by the following scenarios:
a) where the Vendor is at fault for the refund (for example, due to no response, poor quality of orders or they
have cancelled the Job), it will negatively impact their Vendor status and rankings;
b) multiple refunds attributed to a single product from a Vendor will lead to temporary and/ or permanent
restrictions on their account depending upon the severity and frequency.

1.7 Disputes
Bantana Audio will mediate all dispute requests between buyers and vendors. Bantana Audio makes it a goal
to treat buyers with respect and will always try to resolve disputes before issuing a refund.
Bantana Audio will aim to make a resolution decision on behalf of both parties within seven (7) days [Usually
sooner].
For disputes concerning the quality of the orders delivered: Bantana Audio will consider whether the Vendor
has met general quality standards. Assessments on quality i) down to perceived taste, or ii) requiring
specialist technical or subject matter expertise, will not form part of the resolution decision;
In the event of having to make a resolution decision on behalf of the parties, Bantana Audio will notify both
parties within fourteen (14) days of the Dispute [Usually sooner]. The disputed funds shall be dealt with in
accordance with the resolution decision and these terms and conditions. Our involvement with the Dispute
ends once the resolution in relation to the Dispute has been communicated

1.9 Buyer Fees
Bantana Audio does not charge a fee to the vendor. Bantana Audio only pass on payment processing fees on
deposit of funds as follows:

We may make changes to our transaction fees from time to time. These changes will be reflected in updated
terms issued by us, which will apply to any transactions which take place after the updated fees come into

2.0 Currency Conversion
If you require a transaction within the Bantana Audio site which involves a currency conversion, it will be
completed at a foreign exchange rate determined by an official institution, which is adjusted on a regular
base. Exchange rates fluctuations are not under Bantana Audio control.
Payments will be made in USD regardless of Vendors currency. The conversion of USD to Vendor currency
will be controlled by an official institution and PayPal externally.

2.1 Non-compliance
Bantana Audio reserves the right to not grant or to remove any previously granted Referral Reward from
your User account should any of the Bantana Audio terms and conditions not be met. Bantana Audio reserves
the right to suspend the User account or remove Referral Reward should abusive or fraudulent activity
regarding the Referral Program be suspected at the discretion of Bantana Audio. (Currently not applicable)

2.2 Vouchers and Coupons
Users may receive funds deposited directly in their Bantana Audio Account as part of a promotion or as a
Referral Reward; or alternatively receive a promotional code for a fixed or percentage discount on services
purchased on Bantana Audio (“Vouchers”). (Currently not applicable)
These Vouchers: will be for the exclusive use of purchasing services on Bantana Audio, their monetary value
will not be available for withdrawal from Bantana Audio. (Currently not applicable)
Bantana Audio reserves the right to control sales of your product through coupons and promotions. Coupons
issued will never be larger than 25%. All though not required we will try to contact vendors for approval
before issuing coupons.

2.3 Privacy Statement
By proceeding to use the Bantana Audio Service Users consent that Bantana Audio may process the personal
data (including sensitive personal data) that Bantana Audio collects from them in accordance with the
Bantana Audio Privacy Policy

2.4 Governing Law
These terms and conditions and any dispute or claim arising out of or in connection with them or their
subject matter or formation (including non-contractual disputes or claims) shall be governed by and
